This facilitation includes the handling and processing of payments on
behalf of our clients to various third parties, including government entities, legal service providers, and other business service organizations, as necessitated during the provision of the subscribed services. Our role as an intermediary is to ensure seamless, timely, and accurate payment transactions between our
clients and third-party service providers, thereby facilitating the efficient and effective delivery of subscribed services.

2.5 Exemption from Liability for Third-Party Changes: DiligentX FZE is not liable for any changes imposed by third-party providers or government authorities subsequent to the signing of the agreement with the customer. These changes might include alterations to costs, timelines, or specific service requirements that are beyond our control.

3.1 Compliance with Legal and Ethical Standards: Customers engaging with DiligentX FZE’s services must strictly adhere to all applicable laws and ethical norms as established under UAE Law. This includes refraining from engaging in any business activities or practices that are illegal, defamatory, immoral, or
obscene. Customers must conduct themselves and their business operations in a manner that upholds the integrity and legal standards of the UAE, ensuring that their business dealings comply with all legal provisions and ethical guidelines.
3.2 Usage of Products and Services: All products and services provided by DiligentX FZE are intended for the specific use of the registered company and its official business purposes. These products and services should not be resold, assigned, or delegated to other parties without obtaining the necessary permissions  and consents from DiligentX FZE and, if applicable, the relevant third-party service providers and
government authorities. Customers are responsible for ensuring that the use of these products and services aligns with the agreed-upon purposes and does not extend beyond the scope of their registered business activities.
3.3 Entitlement to Services and Agreement Adherence: Customers are entitled to receive all subscribed products and services from DiligentX FZE, subject to adherence to the company’s Terms and Conditions. Upon execution of payment in accordance with the issued proforma invoices, the Customer unequivocally
accepts and agrees to be bound by these Terms, establishing the legal framework governing the relationship between DiligentX FZE and the Customer.
3.4 Right to Information and Indemnification: Customers have the right to receive current and accurate information about the subscribed products and services. However, customers are required to indemnify
DiligentX FZE against any losses or damages that may arise due to changes in the terms, conditions, or other aspects of the products and services after the signing of the agreement or after executing payments towards DiligentX FZE. This indemnification covers alterations that may occur due to external factors beyond DiligentX FZE’s control.
3.5 Timely Payments and Obligations Fulfillment: Customers are required to promptly fulfill their financial obligations to DiligentX FZE, including the timely payment of all fees and charges associated with the
subscribed products and services.
3.6 Indemnification of DiligentX FZE: Customers agree to indemnify DiligentX FZE against any expenses, costs, claims, damages, or penalties that may arise in connection with the subscribed services. This indemnification covers potential liabilities or losses that DiligentX FZE may incur as a result of the customer’s actions or omissions in relation to these services.
